These Terms of Service (“Terms”) govern your access to and use of the PaidTerms website, applications, and contract-generation services (“Service”). By creating an account or using PaidTerms, you agree to be bound by these Terms.
1. PaidTerms is a document tool, not a law firm
PaidTerms provides templates and tools to help trade contractors create payment-protected contracts. We are not a law firm and do not provide legal advice. The documents you create using PaidTerms should be reviewed by a licensed attorney if you have questions about their legal effect in your jurisdiction.
2. Accounts and eligibility
To use PaidTerms, you must create an account and provide accurate information. You must be at least 18 years old and authorized to enter contracts on behalf of any business you represent. You are responsible for keeping your login credentials secure.
3. Payments and access
PaidTerms is available as a one-time purchase of $29. Once paid, you receive lifetime access to the paid features associated with your account, subject to these Terms and any applicable refund policy. Prices may change for future purchases, but your paid access is not affected by later price changes.
4. Acceptable use
You agree to use PaidTerms only for lawful purposes. You may not use the Service to create fraudulent, deceptive, or illegal contracts, harass others, interfere with the platform, or reverse-engineer our software. We may suspend or terminate accounts that violate these rules.
5. Your content
You retain ownership of the contracts, client information, and other content you upload or create in PaidTerms (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you. We do not claim ownership of your contracts or client relationships.
6. Confidentiality and security
We use reasonable security measures to protect Your Content. However, you are responsible for protecting any confidential or sensitive information you choose to include in your contracts and for controlling who has access to them.
7. Termination
You may delete your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ends, and we may delete your account data in accordance with our Privacy Policy.
8. Limitation of liability
To the maximum extent permitted by law, PaidTerms and its affiliates are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. This section does not limit liability for gross negligence, willful misconduct, or obligations that cannot be excluded under applicable law.
9. Indemnification
You agree to indemnify and hold harmless PaidTerms and its affiliates from claims, damages, and expenses arising from Your Content, your use of the Service, or your violation of these Terms.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Your continued use of PaidTerms after changes take effect means you accept the revised Terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the courts located in Delaware, unless otherwise agreed by the parties.
